Fulfillment and Refund Policy

Fulfillment Policies

Please read these terms and conditions carefully before using our services.

Websavvy Consulting uses a standard Agreement to govern its relationship with Clients and to manage each project for its Clients. This Agreement is stated here in plain, understandable English for everyone’s convenience.

  1. 1. We will perform the project work in a commercially reasonable workmanlike manner and within the agreed-upon time schedule.
  2. 2. We need to have complete Administrative access to the live servers and hosting accounts in order to effectively do our work.
  3. 3. The client is responsible for appointing a representative to coordinate all of the project responsibilities.
  4. 4. The project definition will become Exhibit 1, Statement of Work, a part of this Agreement, and determines what is included in the project definition.
  5. 5. Once certain aspects of the project have been agreed upon, additional changes may require additional fees. For any such changes, a Change Order will be issued and mutually agreed upon.
  6. 6. The Statement of Work may include a project development schedule to guide both Websavvy Consulting and client activities. The Client is responsible for delivering any needed materials (information, images, text, comments, approvals) according to that schedule. Failure to delivery the materials will result in re-scheduling the project and a 6% penalty will be added for each week’s delay.
  7. 7. Client will have no more 7 days to review and approve, or give reasons for not approving, any completed items.
  8. 8. Client will be required to pay an initial non-refundable retainer of 40%, 40% upon presentation of the Draft version of the site and 20% when the site is complete and ready to launch. Invoices are due upon receipt. SavvyCare website maintenance service plans are on a prepaid retainer basis at the agreed upon rate.
  9. 9. Client’s ownership and licensed rights to the website are contingent upon our receipt of payments due. The intellectual property to be contained in the website we develop for you may be comprised of intellectual property developed solely by us, or provided by you, or obtained by you or us from third parties. For intellectual property developed solely by us for you, you will own such intellectual property. For intellectual property obtained by us from a third party, we will pass to you all rights that we were given by such third party. For intellectual property supplied by you, you will grant us a license to use that intellectual property as needed to develop client’s website and all rights will remain the Client.
  10. 10. We warrant our work for 30 days after the work is accepted.
  11. 11. We will be obligated to defend third-party claims that allege that the intellectual property provided by us infringes the rights of a third party. You will have a similar obligation for intellectual property provided by you.
  12. 12. Each of our potential liability will be limited to the amount payable under the agreement.
  13. 13. This Agreement is subject to California laws and the County of Santa Clara, California.
  14. 14. The Agreement terms are independent of one another so that the rest of this Agreement will remain in force should a court declare one or more of its provisions void or unenforceable.

Refund Policy

1. Once the Statement of Work and the Agreement for Services are signed, the Initial Retainer is non-refundable.

2. Should a client cancel a website development project work will stop on the day requested and a progress-to-date invoice will be issued for payment.
Once the payment has been received, the client owns the work to date. Should the client not pay the outstanding invoice, Websavvy Consulting continues to own the body of intellectual property developed to date.

3. For Savvycare website maintenance engagements, we work in a commercially reasonable workmanlike manner and make every effort to compete requests within 48-72 hours. We also offer emergency service for same day/next day requests at a premium.

4. We invoice quarterly and cancellation can occur at any time with 30 days notice. Any payments made but not due will be refunded.
